Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ampli (the "Service"), an employee advocacy platform operated by CoreNet Solutions ("we," "us," or "our"). By accessing or using Ampli, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Ampli, you represent that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into a binding agreement
  • You will comply with these Terms and all applicable laws
  • If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms

2. Description of Service

Ampli is an employee advocacy platform that enables organizations to:

  • Create, approve, and manage content for employee sharing
  • Enable employees to share approved content to LinkedIn with one click
  • Track participation and content performance through analytics
  • Manage team members and organizational settings

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use Ampli, you must create an account by providing accurate and complete information. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Organizational Accounts

Organizations can invite team members to join their Ampli workspace. The organization's account owner or administrators are responsible for managing user roles, permissions, and compliance with these Terms by all team members.

4. Acceptable Use Policy

You agree not to use Ampli to:

4.1 Prohibited Activities

  • Violate any applicable laws, regulations, or third-party rights
  • Post spam, unsolicited messages, or misleading content
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Share content that infringes intellectual property rights, privacy rights, or other proprietary rights
  • Transmit viruses, malware, or any other malicious code
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or other systems
  • Use automated scripts, bots, or scrapers to access the Service
  • Resell, sublicense, or redistribute the Service without our written consent

4.2 Content Standards

All content shared through Ampli must comply with LinkedIn's Terms of Service and Professional Community Policies. You are solely responsible for ensuring that your content is appropriate, accurate, and compliant with all applicable laws.

5. LinkedIn Integration

5.1 Third-Party Service

Ampli integrates with LinkedIn through their API. By connecting your LinkedIn account, you acknowledge that:

  • Your use of LinkedIn is governed by LinkedIn's Terms of Service and Privacy Policy
  • Ampli will only post to LinkedIn when you explicitly click "Share"
  • You are responsible for the content you share to LinkedIn through Ampli
  • You can disconnect your LinkedIn account at any time
  • We are not responsible for any changes to LinkedIn's API, policies, or service availability

5.2 Permissions

When you connect your LinkedIn account, you grant Ampli permission to post content on your behalf only when you explicitly authorize it. You may revoke these permissions at any time through your account settings or LinkedIn's application management page.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its design, code, features, text, graphics, logos, and other content (excluding User Content), is owned by CoreNet Solutions and is protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our trademarks, logos, or branding without written permission

6.2 User Content

You retain ownership of all content you create or upload to Ampli ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store, display, and distribute your User Content within the Service
  • Enable sharing of User Content to LinkedIn when you authorize it
  • Create aggregated, anonymized analytics data

This license terminates when you delete your User Content or your account, except for content that has been shared to LinkedIn or used in anonymized analytics.

6.3 Content Responsibility

You represent and warrant that you own or have the necessary rights to all User Content you upload and that your User Content does not violate any third-party rights or applicable laws.

7. Payment Terms

7.1 Subscription Fees

Ampli is offered on a subscription basis with a flat monthly rate. By subscribing, you agree to:

  • Pay all fees associated with your subscription plan
  • Provide current, complete, and accurate payment information
  • Authorize automatic monthly billing to your payment method
  • Update your payment information promptly if it changes

7.2 Billing

Subscription fees are billed monthly in advance. If payment fails, we may suspend or terminate your access to the Service. All fees are non-refundable except as required by law or explicitly stated in these Terms.

7.3 Price Changes

We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription.

7.4 Taxes

All fees are exclusive of applicable taxes, which you are responsible for paying. We will add applicable taxes to your invoice where required by law.

8. Cancellation and Refunds

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

  • Your access will continue until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • Your data will be retained for 30 days after cancellation, then permanently deleted

8.2 Refund Policy

We offer a 14-day money-back guarantee for first-time subscribers. If you cancel within 14 days of your initial subscription, we will refund your payment. After the 14-day period, fees are non-refundable.

8.3 Termination by Us

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we believe is harmful to other users or the Service. In case of termination for violation, fees are non-refundable.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not warrant that results obtained from using the Service will be accurate or reliable.

9.2 Third-Party Services

We are not responsible for any third-party services, including LinkedIn, that you use in connection with Ampli. Your use of third-party services is governed by their respective terms and policies.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORENET SOLUTIONS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless CoreNet Solutions and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Your User Content or content you share through the Service
  • Your misuse of the Service

11. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by:

  • Updating the "Last Updated" date at the top of these Terms
  • Sending an email to your registered email address
  • Displaying a notice on the Service

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Before filing a claim, you agree to contact us at support@ampli.social to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal dispute resolution.

13.3 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property disputes. You waive your right to participate in class actions or class arbitrations.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoreNet Solutions regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or internet service provider failures.
